These Terms of Service ("Terms") govern your use of DeleBook, a scheduling, booking, and lead-management platform operated by DeleBook LLC, a North Dakota limited liability company ("DeleBook," "we," "us"). By creating an account or using DeleBook, you agree to these Terms. If you are using DeleBook on behalf of a business, you agree to these Terms for that business and confirm you have the authority to do so.

1. The Service

DeleBook provides tools for service businesses to manage appointments, calendars, customers, and incoming leads, including leads delivered from connected third-party sources such as Facebook Pages. We may add, change, or remove features as the platform develops. DeleBook is currently offered in an early-access (beta) form, and you may encounter changes or interruptions as we improve it.

2. Accounts

You are responsible for your account credentials and for all activity under your account. Keep your login information confidential, and tell us promptly at kelly@delebook.com if you believe your account has been compromised. You must provide accurate information when creating an account and keep it up to date.

3. Your Content and Customer Data

Businesses using DeleBook submit and manage information about their own customers — bookings, contact details, leads, and notes ("Customer Data"). As between you and DeleBook, you own your Customer Data. You grant us the right to host and process it solely to provide the service to you. You are responsible for having the right to collect and use the Customer Data you bring to DeleBook, and for how you use it — including complying with laws that apply to your communications with your customers. Where you use DeleBook to send text messages to your customers, you are responsible for obtaining and maintaining their consent, and for complying with applicable messaging laws and carrier requirements.

Our collection and handling of personal information is described in our Privacy Policy, which is part of these Terms.

4. Third-Party Connections

DeleBook lets you connect third-party services, such as a Facebook Page for Meta Lead Ads delivery. Those services have their own terms and policies, which you are responsible for complying with — including Meta's platform terms for any connected Page. We may suspend a connection if required by the third party or to protect the service. You can disconnect a connected service at any time from your settings.

5. Acceptable Use

You agree not to misuse DeleBook. Among other things, you will not: use the service to send spam or unlawful communications; upload content that is illegal or infringes others' rights; attempt to access other businesses' data or probe, disable, or disrupt the service; misrepresent your identity or your authority to act for a business; or resell or sublicense the service without our written agreement.

6. Fees

Where fees apply, they will be stated to you before you incur them, and you agree to pay them as described at the time of purchase. We may change pricing with reasonable advance notice; changes will not apply retroactively.

7. Intellectual Property

DeleBook and its software, design, and branding are owned by DeleBook LLC and protected by law. These Terms do not grant you any rights to our platform other than the right to use it as intended. Feedback you give us about the service may be used to improve it without obligation to you.

8. Disclaimers

DeleBook is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or that third-party integrations (such as lead delivery from Meta) will function without interruption, since those depend in part on the third party.

9. Limitation of Liability

To the fullest extent permitted by law, DeleBook LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of or related to your use of the service. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the service is limited to the amount you paid us for the service in the twelve months before the claim arose (or one hundred dollars, if you have paid nothing).

10. Indemnification

You agree to indemnify and hold DeleBook LLC harmless from claims arising out of your Customer Data, your use of the service in violation of these Terms, or your violation of applicable law or third-party rights.

11. Suspension and Termination

You may stop using DeleBook and close your account at any time. We may suspend or terminate access if you materially violate these Terms, if required by law, or if necessary to protect the service or its users; where practical, we will give you notice first. Upon termination, your right to use the service ends. Sections that by their nature should survive (including 3, and 7 through 13) survive termination.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above, and for material changes we will provide additional notice within the application or by email. Continuing to use DeleBook after changes take effect means you accept the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of North Dakota, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the service will be resolved in the state or federal courts located in North Dakota, and you consent to their jurisdiction.
